H.B. Fuller announced that the company plans to raise $850 million by issuing new debt that it will use, along with available cash and additional borrowing, to help fund its acquisition of Advanced Medical Solutions Group plc (AMS). The company also plans to use the funds to repay existing debt and for other general corporate purposes. Set to mature in 2034, the notes will carry a 7.625% interest rate.
The transaction is expected to close around October 21, 2026, subject to customary closing conditions. If the AMS acquisition is not completed by June 25, 2027, subject to a possible extension, or if H.B. Fuller determines that the acquisition will not move forward by the applicable deadline, the company will be required to repay $450 million of the new notes, plus accrued interest.
According to the company, the notes are being offered privately to qualified institutional buyers and certain investors outside the United States.
